NCC Grants 45-Day Grace Period to Regularize Unapproved Shareholding Changes

The Nigerian Communications Commission (NCC) has issued a directive requiring all licensees that have implemented shareholding changes exceeding 10% without prior regulatory approval to regularize these infractions within a 45-day grace period.

In a notice published on its official website, the Commission stated that the directive is issued under its statutory powers as provided by the Nigerian Communications Act, 2003, and in line with relevant licensing regulations.

The NCC clarified that during the 45-day window—which begins from the date of publication—no sanctions will be imposed for previous breaches involving unapproved changes above the 10% threshold. However, it warned that appropriate penalties will be applied immediately after the grace period expires for any licensee that remains non-compliant.

Sanctions will be enforced in accordance with the Nigerian Communications (Enforcement Processes, etc.) Regulations, 2019.

The regulator emphasized that prior approval is mandatory for any significant changes in ownership or control, as stipulated under Regulations 41, 42, and 43 of the Licensing Regulations, 2019.

Industry analysts view this move as part of the NCC’s strengthened focus on regulatory compliance, transparency, and sound corporate governance in the telecommunications sector.

All affected licensees are advised to promptly engage with the Commission to regularize their shareholding structures before the deadline to avoid penalties.
